1. Acceptance of These Terms
By accessing this website or engaging Covenant Systems (“we,” “us,” or “our”) for services, you agree to these Terms of Service. If you do not agree, please do not use this site.
2. Scope of Services
We provide technology services including custom software development, web and iOS application development, CAD drafting and design, IT and network services, and fiber optic and low-voltage data cabling. The specific scope, deliverables, timeline, and pricing for any engagement are defined in the individual quote, proposal, or statement of work agreed to for that engagement. In the event of a conflict between these Terms and a signed statement of work, the statement of work controls for that engagement.
3. Quotes and Payment
Quotes are valid for the period stated on the quote. Invoices are due according to the terms stated on the invoice. Online payments are processed by Stripe. Product pricing shown on this site reflects setup pricing; recurring costs such as hosting and domains are quoted separately where applicable.
4. Intellectual Property
Unless otherwise agreed in a statement of work, upon full payment you own the final deliverables produced specifically for your engagement. We retain ownership of our pre-existing tools, libraries, templates, and know-how. Content on this website (text, graphics, logos) belongs to Covenant Systems and may not be reproduced without permission.
5. Website Provided “As Is”
This website and its content are provided “as is” and “as available,” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Information on this site is general in nature and does not constitute professional advice for your specific situation.
6. Limitation of Liability
To the maximum extent permitted by law, Covenant Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunity, arising out of or related to your use of this website or our services. Our total aggregate liability for any claim arising out of an engagement shall not exceed the amounts you paid us for the specific services giving rise to the claim.
7. Governing Law and Disputes
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. Any dispute arising out of these Terms or our services shall be brought exclusively in the state or federal courts located in Ohio, and the parties consent to the jurisdiction of those courts. Before filing any action, the parties agree to attempt in good faith to resolve the dispute through direct negotiation.
8. Changes to These Terms
We may update these Terms from time to time. Changes take effect when posted to this page, and the “Last updated” date will be revised accordingly.
9. Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
